Scope of Application: AI image generation and credit recharge services provided through MeiGen platform (meigen.ai).


1. Service Definition and Acceptance

1.1 Service Content

  • AI Prompt Gallery: A search engine and archive for publicly shared AI artwork and prompts, helping users discover inspiration and credit original creators.
  • AI Image Generation: Generate images through artificial intelligence technology. Output results may vary based on input descriptions.
  • Credits: Virtual measurement units purchased through secure payment processing.

1.2 Agreement Effectiveness

By clicking "Agree" or actually using the service, you are deemed to have read and accepted this Agreement, Privacy Policy, and Terms of Service.


2. User Obligations and Code of Conduct

2.1 Legal Use Commitment

You may not use this service for the following activities:

  • Generate or disseminate content that violates applicable laws (such as hate speech, terrorism, inappropriate content);
  • Infringe on others' intellectual property rights;
  • Interfere with normal service operations (such as malicious data scraping, launching DDOS attacks).

2.2 Age Requirements

  • Users must be at least 13 years of age to use this service;
  • Minors must use this service under guardian supervision;
  • Guardians are fully responsible for supervising minors' use of the service.

2.3 Account Integrity

You are responsible for maintaining the security of your account credentials. We may suspend or terminate any account at our sole discretion if we determine that the account is being used in a manner that harms the Service, other users, or the integrity of the platform.


3. Content Moderation System

3.1 Automated Review Process

Generation requests are subject to content moderation provided by our AI model providers, supplemented by platform-level rules:

  • Automatic Review: Requests are screened by upstream provider moderation before image generation;
  • Credit Refund on Rejection: If a request is rejected by moderation, the credits consumed are refunded (typically within minutes);
  • Prohibited Categories: Includes adult content, politically sensitive material, graphic violence, and discriminatory content;
  • Limitations: No moderation system is perfect. Inappropriate content may occasionally bypass automated checks, in which case users may report it via our customer service email.

System Transparency: Automated systems may occasionally flag legitimate content. Users can contact support for review if they believe content was incorrectly filtered.


4. Prohibited Content Categories

The following types of content are strictly prohibited from generation:

4.1 Adult/Sexual Content

  • Pornographic, explicit, or sexually suggestive imagery
  • Any sexual content involving minors
  • Content promoting sexual services or activities

4.2 Violence and Extreme Content

  • Graphic violence, gore, or disturbing imagery
  • Content promoting self-harm or suicide
  • Terrorism or violent extremism materials

4.3 Hate Speech and Discrimination

  • Content targeting individuals based on protected characteristics
  • Hate speech or incitement to violence
  • Harassment, bullying, or intimidation content

4.4 Illegal Activities

  • Drug manufacturing or distribution instructions
  • Weapon manufacturing guides
  • Any content promoting illegal activities

4.5 Other Persons and Identity

  • Uploading, generating, or making available any image of another person without that person's permission
  • Content containing biometric data of identifiable persons
  • Non-consensual intimate imagery
  • Content that sexualizes or harms minors in any manner

4.6 Intellectual Property Infringement

  • Copyrighted characters, logos, or trademarks
  • Brand impersonation or counterfeiting

Important Notice: This list is not exhaustive. We reserve the right to prohibit additional content types that violate applicable laws or community standards.


5. User Responsibility and Content Ownership

5.1 Content Responsibility

  • Full Liability: Users bear complete responsibility for all input prompts and generated content;
  • Legal Compliance: Users must ensure all generated content complies with applicable laws;
  • Commercial Use Risk: Users assume all risks associated with commercial use of generated content.

5.2 Content Ownership

  • User Ownership: Users retain full ownership of compliant generated content;
  • Commercial License: Users receive complete commercial usage rights for their generated content;
  • Platform Rights: We claim no ownership rights over user-generated content.

Rights Protection: We support users' legitimate creative and commercial activities while maintaining platform safety and legal compliance.

5.3 Compliance Obligations

  • Legal Compliance: Users must comply with all applicable laws in their jurisdiction;
  • Prohibited Use: Users must not use the service for any illegal purposes;
  • Damage Liability: Users are liable for any damages resulting from violation of these terms;
  • Indemnification: Users agree to indemnify and hold harmless Meigen Creative L.L.C. and its affiliates from any claims, damages, or expenses arising from their use of the service or violation of these terms.

5.4 License Grant

By submitting any content (including prompts, reference images, and generated outputs) to the Service, you grant Meigen Creative L.L.C. and its service providers a non-exclusive, perpetual, irrevocable, worldwide, royalty-free, sublicensable license to host, transmit, process, store, display, and otherwise use such content strictly as necessary to operate and maintain the Service, including transmitting such content to third-party AI providers for inference and processing.


6. Dispute Resolution Process

6.1 Content Dispute Reporting

  • Required Information: Reports should include content description, relevant evidence, and contact details;
  • Response Time: We will respond and process reports within 7 business days;
  • Investigation Process: All reports undergo thorough review by our moderation team.

6.2 Intellectual Property Disputes

  • DMCA Compliance: We follow standard DMCA procedures for copyright claims;
  • Required Documentation: Rights holders must provide proof of ownership, specific content description, and detailed contact information;
  • Counter-Notice Process: Users may submit counter-notices for disputed takedown requests;
  • Legal Requirements: All claims must meet legal standards for validity under 17 U.S.C. § 512.

6.3 User-to-User Disputes

  • Direct Resolution: Users should first attempt to resolve disputes directly;
  • Platform Mediation: Contact customer support if direct resolution fails;
  • Account Actions: Serious violations may result in account suspension or permanent ban;
  • Legal Compliance: All resolutions must comply with applicable laws and regulations.

6.4 Appeal Process

  • Appeal Period: Users may appeal decisions within 30 days of notification;
  • Additional Evidence: Appeals should include new evidence or clarifications;
  • Review Process: Appeals are reviewed by our support team, which will reconsider the original decision in light of any new information provided;
  • Final Decision: Following review, our determination represents our final internal position, without prejudice to your statutory rights under applicable law.

Fair Process: We aim to handle disputes fairly while maintaining platform safety and legal compliance.


7. Payment and Refund Rules

7.1 Credit Purchase

  • MeiGen sells credits as one-time purchases. We do not operate subscription, recurring billing, or auto-renewal models; there is no subscription to cancel;
  • Purchased through secure payment processing, credited instantly and non-transferable;
  • Purchased credits are permanently valid, subject to continued service operation. If the Service is permanently discontinued, we will provide at least 30 days' notice and refund unused purchased credits where reasonably feasible. Complimentary credits (including but not limited to sign-up bonuses and promotional offers) are subject to platform rules and may be adjusted at any time.
  • Daily free credits may only be used with models classified as basic by the platform. Premium models require purchased credits or, where applicable, one-time welcome credits which we may grant to eligible users at sign-up at our sole discretion. The classification of basic and premium models may be adjusted by the platform at any time; the generation interface reflects the current classification.

7.2 Refund Policy

  • Credits are virtual goods and generally non-refundable under normal use;
  • Eligible situations: System errors causing duplicate charges, extended service interruption (72+ hours), platform-related issues.

7.3 Refund Process

8. Disclaimer

8.1 AI Generated Content

  • All service outputs are automatically generated by algorithms and may contain errors, biases, or inappropriate information;
  • We recommend users verify that AI-generated content does not infringe on third-party rights before publication or commercial use.

8.2 Service Availability

  • Platform bears no responsibility for service interruptions due to system maintenance, network failures, or government regulations;
  • Platform bears no responsibility for failures caused by third-party services.

8.3 Warranty Disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

8.4 Limitation of Liability

  • To the maximum extent permitted by applicable law, our total aggregate liability for any claim arising out of or relating to this Agreement or the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD $100;
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.

9. Agreement Termination

9.1 Breach Handling

  • If you violate this Agreement, the platform may suspend service and reserves the right to pursue legal responsibility;
  • Remaining credits in your account will not be refunded;
  • Where we determine in good faith that an account has been used to materially harm the Service or other users (including coordinated abuse, fraud, or generation of strictly prohibited content under Section 4), we may suspend the account and forfeit unused complimentary credits. Refunds of unused purchased credits will be considered in accordance with applicable consumer protection laws;
  • The platform reserves the right to identify and suspend accounts engaged in coordinated abuse, including but not limited to accounts sharing behavioral patterns or linked through referral chains;
  • Suspended accounts may not create new accounts. Any new accounts created to circumvent a suspension will also be suspended.

9.2 Governing Law and Arbitration

  • Governing Law: This Agreement is governed by the laws of the State of Wyoming, United States, without regard to its conflict of laws principles.
  • Informal Resolution: Before commencing arbitration, you and Meigen Creative L.L.C. will attempt to resolve any dispute informally for at least 60 days by contacting [email protected].
  • Binding Arbitration: Any dispute arising out of or relating to this Agreement or the Service shall be resolved by binding arbitration administered by JAMS in accordance with its Comprehensive Arbitration Rules. Arbitration shall be conducted in English by videoconference, or in a location mutually agreed by the parties.
  • Class Action Waiver: YOU AND MEIGEN AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
  • Jury Trial Waiver: You and Meigen waive any right to a jury trial.
  • Opt-Out: You may opt out of this Arbitration Agreement by sending written notice to [email protected] within 30 days of first accepting this Agreement. For users who accepted a prior version of this Agreement, the 30-day opt-out window restarts from the Effective Date listed above. The notice must include your name, account email, and a clear statement that you wish to opt out.
  • Small Claims Exception: Either party may bring an individual action in small claims court in lieu of arbitration.
  • Severability: If any portion of this Section 9.2 is found unenforceable, the remainder shall remain in effect. If the Class Action Waiver is found unenforceable with respect to any claim, that claim (and only that claim) shall proceed in court rather than arbitration, with all other claims remaining in arbitration.

10. Agreement Updates

  • Platform reserves the right to modify this Agreement. Changes will be notified through site announcements;
  • Continued use of the service after changes indicates acceptance of updated content.
